Article 1 : Purpose
The purpose of these general terms of use ("TOU") is to provide a legal framework for the terms and conditions under which the services of the site www.niedaxfrance.fr are made available by NIEDAX France and for their use by "the User". These TOU are available on the site under the heading "TOU".
Any registration or use of the site implies the user's unreserved and unrestricted acceptance of these TOU. When registering on the site via the registration form, each user expressly accepts these TOU by checking the box preceding the following text: "I acknowledge that I have read and understood the TOU and I accept them".
In the event of non-acceptance of the TOU stipulated in this contract, the User must renounce access to the services offered by the site.
www.niedaxfrance.fr reserves the right to unilaterally modify the content of these TOU at any time.

ARTICLE 3 : Definitions
The purpose of this clause is to define the essential terms of the contract:
User: any person who uses the site or any of the services offered by the site.
User content: all data transmitted by the User within the site.
Member: a user becomes a member when they are identified on the site.
Username and password: all the information required to identify a User on the site. The username and password allow the User to access services reserved for members of the site. The password is confidential.
ARTICLE 4 : Intellectual property
The trademarks, logos, signs and all the content of the site (texts, images, sound, etc.) are protected by the Intellectual Property Code and more particularly by copyright.
The NIEDAX FRANCE trademark is a trademark registered by SAS NIEDAX FRANCE. Any representation and/or reproduction and/or exploitation of this trademark, in whole or in part, of any kind whatsoever, is totally prohibited.
It is expressly acknowledged and accepted by all users of this site that any product, service or technology described in these documents may be the subject of other Intellectual Property rights for the benefit of REXEL France or a third party. No right to use such Intellectual Property rights is granted herein.
The User must request prior authorisation from the site for any reproduction, publication or copy of the various contents. The User undertakes to use the contents of the website in a strictly private context; any use for commercial or advertising purposes is strictly forbidden.
Any total or partial representation of this site by any means whatsoever without the express authorisation of the site operator would constitute an infringement punishable under Article L 335-2 et seq. of the Intellectual Property Code.
Violation of these provisions subjects the offender to the penalties provided for both by the Intellectual Property Code and the Penal Code, particularly with regard to copyright infringement and trademark law, and by the Civil Code with regard to civil liability.
In accordance with Article L122-5 of the Intellectual Property Code, the User who reproduces, copies or publishes protected content must cite the author and the source.
Any content posted by the User is their sole responsibility. The User undertakes not to put online any content that could harm the interests of third parties. Any legal action taken by an injured third party against the site will be borne by the User.
The User's content may be removed or modified by the site at any time and for any reason. The User does not receive any justification and prior notification for the deletion or modification of User content.
ARTICLE 5 : Access to the website
The site www.niedaxfrance.fr allows the User free access to the following services:

The site is accessible free of charge at any location to any User with Internet access. All costs incurred by the User to access the service (hardware, software, Internet connection, etc.) are at the User's expense.
Non-member Users do not have access to the reserved services. To do this, they must register by filling in the form. By agreeing to register for the reserved services, the member User undertakes to provide truthful and accurate information concerning their civil status and contact details, in particular their email address.
In order to access the services, the User must then identify themselves using their username and password communicated to them after registration.
Any member User who is duly registered may also request to unsubscribe by going to the dedicated page on their personal space. This will be effective within a reasonable time.
Any event due to force majeure resulting in a malfunction of the site or server and subject to any interruption or modification in case of maintenance, does not engage the responsibility of www.niedaxfrance.fr. In such cases, the User agrees not to hold the publisher responsible for any interruption or suspension of service, even without notice.
The User has the possibility to contact the site by email at the publisher's email address given in ARTICLE 2.
ARTICLE 6 : Data collection
The information requested when registering on the site is necessary and mandatory for the creation of the User's account. In particular, the email address may be used by the site for the administration, management and coordination of the service.
The site ensures that the User's personal information is collected and processed with respect for privacy in accordance with the French Data Protection Act No. 78-17 of 6 January 1978.
Pursuant to Articles 48 et seq. of the French Data Protection Act No. 78-17 of 6 January 1978, as amended by Ordinance No. 2018-1125 of 12 December 2018 applicable on 1 June 2019, the User has a right of access, rectification and opposition over their personal data.

ARTICLE 7 : Liability and force majeure
The sources of the information on www.niedaxfrance.fr are deemed reliable but the website does not guarantee that it is free of defects, errors or omissions.
The information provided is for general guidance only and is not contractually binding. Despite regular updates, the site www.niedaxfrance.fr cannot be held responsible for changes in administrative and legal provisions occurring after publication. Similarly, the site cannot be held responsible for the use and interpretation of the information contained in this site.
The User must ensure that their password is kept secret. Any disclosure of the password in any form is prohibited. They assume the risks associated with the use of their username and password. The site declines all responsibility.
The site must be compensated for any use of the service by the User which directly or indirectly results in damage.
The site does not guarantee optimal security and confidentiality of the data transmitted. However, the site undertakes to implement the necessary means to guarantee the security and confidentiality of the data.
The site www.niedaxfrance.fr cannot be held responsible for any viruses that may infect the computer or any other computer equipment of the Internet user, following use, access or downloading from this site.
The site cannot be held responsible in the event of force majeure or the unforeseeable and insurmountable act of a third party.
ARTICLE 8 : Hyperlinks
Hyperlinks may be present on the site. The User is informed that by clicking on these links, they will leave the site www.niedaxfrance.fr. The latter has no control over the web pages to which these links lead and cannot, under any circumstances, be held responsible for their content.
The User shall therefore refrain from engaging the responsibility of the site for these outgoing hyperlinks.
ARTICLE 9 : Cookies
The User is informed that during their visits to the site, a cookie may be automatically installed in their web browser.
Cookies are small files that are temporarily stored on the hard drive of the User's computer by their browser and are necessary for the use of the site www.niedaxfrance.fr. The duration of these TOU is indefinite. The TOU are effective for the User from the first time the services are used.

ARTICLE 11 : Applicable law and jurisdiction
French law applies to this contract. In the event of failure to reach an amicable settlement of a dispute between the parties, the courts of Paris will have sole jurisdiction.
